1 This Agreement constitutes the sole

agreement relating to the Services to be rendered.

In the event of conflict or discrepancy between the Agreement documentation,

the

order

of

CONTRACTING PARTIES' RELATIONSHIP 协议签署双方的关系

3 The parties acknowledge that, unless

otherwise agreed in writing, no partnership,

joint

venture,

employment or relationship other than that of independent entities, shall come into existence between them by reason of the conclusion of the Agreement.

None of the parties has authority to bind the other in any way without the other's written consent.

Neither party will be restricted from rendering similar Services to third parties.

AURECON'S UNDERTAKING

6 Aurecon will render the Services as

agreed in terms of the IPW, including any agreed variations thereto, with due care, skill and diligence. 6 Aurecon应按照《进行工作指示》

Aurecon

will

comply with

the

requirements

of

all

legislation,

Aurecon will perform the Services in a timely manner or within an agreed program for the commencement and completion of the Services to the extent that it is within Aurecon’s reasonable control to do so.

9 The Client will provide Aurecon with

all

relevant

information

and

documents relating to the Client’s requirements.

will

promptly

and

satisfactorily answer all reasonable enquiries and furnish information requested by Aurecon.

11 The Client will take reasonable steps

to avoid doing or omitting anything which

may

delay

in

performing the Services.

12 The Client will bear the costs of all

fees and charges in connection with the performance of the Services including those associated with complying

with

statutory

and

regulatory requirements such as permit or approval fees.

PAYMENT

14 The Client will pay to Aurecon the

agreed fee for the performance of the Services plus related disbursements. If no fee or basis for calculating the fee has been agreed in the IPW, then Aurecon will be entitled to be paid a reasonable

fee

taking

into

consideration the Guideline Scope of Services and Tariff of Fees current at the time the Services are performed, (as applied by Aurecon’s head office), a copy of which shall be provided by Aurecon to the Client upon request. 14 委托方应向Aurecon支付双方同意的服务费，包括相关的垫付款。如在《进行工作指示》双方未就费用或费用计算方式进行约定，则Aurecon 有权按照服务履行同期现行的《服务指导范围及关税费用》Guideline Scope of Services and Tariff of Fees

15 Unless otherwise stated in the IPW,

Invoices issued by Aurecon for payment for Services rendered, must be paid in full by the Client within 30 days of date of issue.

and/or Services tax, value added tax

or equivalent or like taxes (“GST”),

the Client shall pay Aurecon the GST applicable to those fees, in addition to Aurecon’s professional fees.

16 如Aurecon的费用不包括任何商品及/或服务税、或同等税种（“GST”消费税），则委托方除向Aurecon支付专业服务费之外，还应支付上述费用的GST消费税。

17 In the event of late payment, interest

shall be charged at the overdraft interest rate Aurecon is charged by its bank plus 2 percentage points per annum compounded

monthly

calculated from the due date of

payment.

17 如发生延期支付，则应从付款日起支付按照Aurecon 银行透支利率加上每年贰个百分点（按月计算复利）产生的利息。 18 If any item on an invoice is disputed,

payment on the remainder of the invoice may not be delayed. If a contested item is finally determined to be payable, interest shall be charged as stated above.

19 Unless specifically incorporated in the

Aurecon Quotation /

Proposal, expenses

VARIATION / ADDITIONAL SERVICES

20 Aurecon shall be entitled to be paid a

reasonable fee or compensation (including related costs, expenses, loss or damage) for any change required or performed to the Services, unless it is due to a default of Aurecon, as well as a reasonable extension of time to complete the Services as a consequence thereof. 20 除非由于Aurecon自身失误，Aurecon有权为服务所需或产生的改变获得合理费用或补偿金（包括相关支出、成本、损失金和损坏金），同时因服务的改变，Aurecon有权要求服务期限的合理延长以完成服务。

21 An instruction by the Client to vary

anything in drawings, specifications or other documents issued previously by Aurecon and complying with this Agreement or where amendments to such documents become necessary or

desirable

because

of

22 Variations to the Agreement shall only

be effective, if agreed upon in writing. 22 协议的变更只有在双方书面同意时方为有效。

DELAY OF TIME / FORCE MAJEURE

23 Aurecon shall be entitled to a

reasonable extension of time and for the performance of the Services if Aurecon is delayed in performing the Services by an act, omission or event beyond the reasonable control of Aurecon.

23 如因超出Aurecon合理控制范围的事件、行为、遗漏造成Aurecon履行义务时的超期，Aurecon有权获得期限的延长。 24 Events beyond the control of Aurecon

includes without limitation, fire, floods, acts of God, acts or regulations of any governmental or supranational authority, war, riot, terrorist activities,

strikes, lockouts

industrial

disputes.

25 If such instance, the affected party

shall promptly dispatch a written notice to that effect to the other party.

25 如发生上述情况，受影响一方应立即就该情况向另一方给出书面通知。 26 If Aurecon is delayed in performing

the Services by the Client or its contractors or agents, the Client will pay to Aurecon such costs, expenses, loss or damage incurred by Aurecon or for which Aurecon is liable due to the delay.

26 如因委托方或委托方的承包商或代理责任导致Aurecon在履行服务时超期，委托方需向Aurecon支付Aurecon产生或因超期需承担的费用、开支、损失费、损坏费。

DOCUMENTS AND INTELLECTUAL PROPERTY 文件及知识产权

27 The parties acknowledge that the

electronic transmission of information cannot be guaranteed to be secure or virus- or error free and consequently such information could be intercepted, corrupted, lost, destroyed, arrive late or incomplete or otherwise be adversely affected or unsafe to use. 27 双方同意通过电子手段传递的信息不能确保安全或无错无病毒，因此此类信息可能被截取、损坏、改变，或丢失及不完整，或收到不良影响及不再能被安全使用。

28 The Client accepts the risk of using

drawings, specifications and reports or any other documents issued by Aurecon in electronic form without requesting and checking them for

accuracy against the original hard

copy version.

and other intellectual property

rights

in

documents,

information or anything else, whether stored on paper or by electronic or other means, produced by Aurecon as part of or in connection with the Services vest in Aurecon on creation. 29 Aurecon制作的作为服务一部分或与服务有关的 文件、信息和其余任何，不论其以纸质形式、电子形式或其他任何形式存在，其版权和其他知识产权从制作时则属于Aurecon。

30 Aurecon grants to the Client a license

to use that intellectual property for the purposes for which it was produced for the Project.

31 Each party shall retain copyright in

the work it produced prior to the execution of this Agreement.

the parties shall return all copies of such documentation to the author thereof (except for copies necessarily retained for archival and insurance purposes).

33 Unless specifically required otherwise

34 Neither

party

shall

disclose

confidential information relating to the other party or this Agreement, without the prior written consent of the other party.

35 Confidential information disclosed,

shall only be used for purposes of this Agreement and then on a need to know basis.

36 The above shall not preclude Aurecon

from citing the performance of its Services to the other party, to its clients or prospective clients as an indication of its experience.

ACCURACY OF INFORMATION

37 Unless specifically otherwise agreed,

Aurecon shall be entitled to rely on the accuracy of information supplied by the Client for purposes of rendering the Services.

38 Unless otherwise stated in the IPW,

the Agreement shall commence on the date on which the acceptance of the proposal or quotation in writing has been delivered to Aurecon and shall unless terminated as provided for herein, endure until the Services has been delivered and Aurecon has received payment for such Services in full.

39 The Agreement may be suspended or

terminated (i) by agreement or (ii) in the event of breach by either party, which the defaulting party fails to

remedy within 7 days after receiving notice from the other party specifying the breach and requiring its remedy. 39 本协议在下列情况下可暂停或终止：(i) 约定终止；(ii)一方违约，且违约方在收到另一方通知违约并要求补救的通知7天内未作出补救。

40 A party may terminate this Agreement

with

immediate

effect

should

bankruptcy, insolvency or similar proceedings be instituted against the other party.

accrued rights or claims and liabilities of the parties.

42 All terms of this Agreement that are

intended by their nature to survive termination of this Agreement shall survive termination and remain in full force, including but not limited to the terms concerning fees and payment, disclaimers, limitations and

indemnities.

43 The Consultant accepts liability for

the performance or non-performance of the Services to the extent provided for in this Agreement.

44 Aurecon shall have no liability to the

Client for or in connection with any indirect,

economic,

special or

consequential

loss

or

damage,

including without limitation loss of actual or anticipated profit or revenue, business interruption or shutdown, loss of production, delay costs, loss of opportunity, income or rent, financing or holding costs, in connection with the Services.

44 Aurecon 不应为任何间接的、经济上的、特定或后果性损失或损害（包括但不限于与提供服务有关的实际或预计利润/收入的损失、商业干涉或倒闭、产量损失、误期损失、商机、收入或租金、融资和控股成本的损失）对委托方负以责任。 45 Despite any other clause in this

Agreement, to the extent permissible by law, Aurecon will only be liable to the loss, damage or injury to the extent and in the proportion to which such loss, damage or injury is caused by the fault of Aurecon.

SERVICES AGREEMENT

46 Despite any other clause in this

Agreement,

Aurecon’s

aggregate

liability to the Client arising out of the performance or non- performance of the Services, whether under the law of contract, tort (including negligence), statute or otherwise, shall be limited to the extent permissible by law to twice the fee payable to Aurecon under this Agreement (excluding reimbursable expenses and GST). 46 无论本协议中其余任何条款的规定，Aurecon因服务的作为或不作为而产生的对委托方的总计责任，无论其是在合同法下，或是侵权行为（过失），应按照法律规定不超过按照本协议Aurecon应支付费用的两倍（不包括可补偿费用和消费税GST）。

47 In the event of joint liability with others,

Aurecon will only be liable to the loss, damage or injury to the extent and in the proportion to which such loss, damage or injury is caused by the fault of Aurecon.

barred from commencing any action

or making any claims against the Consultant in connection with the Services, unless legal proceedings are issued and the associated formal documentation served upon Aurecon within that period.

49 Aurecon will for the duration of the

project

maintain

professional

indemnity insurance as confirmed in the IPW. Proof of insurance is available on request.

ARBITRATION

50 Should any dispute, disagreement or

claim arise between the parties (“dispute”) concerning this Agreement, the Parties shall try to resolve the dispute by negotiation. This entails that the one Party invites the other in writing to a meeting and to attempt to resolve the dispute within 7 days from date of the written invitation. If the dispute has not been resolved by

such negotiation, the Parties shall submit the dispute to conciliation and arbitration as provided by

the

Arbitration, Conciliation and Mediation Chamber (CACM – Centro de Arbitragem, Conciliação e Mediação de Moçambique) that will act as the appointing authority.

51 Neither party may assign, sublet or
